TERMS OF
USE
This document describes the terms and conditions under
which you are permitted to use the Electronic Customer Service through its
website at my.royalpaper.com ("ECS").
Access to ECS is limited to customers, sales representatives and
employees of Royal Paper Products, Inc. ("Royal") and any use of ECS
is acknowledgment of your acceptance of these conditions. Royal may revise these Terms of Use at any
time without notice, and you hereby agree to be bound by such changes. It is your responsibility to check these
terms periodically.
Section 1.
Copyright
The text, images, content, software, and other matters
related to ECS are the property of Royal or its affiliates and are protected by

Section 2.
Trademarks
The Royal Paper name, the Royal “R” logo, and
"Innovation Through Dedication" are trademarks of Royal. You may make fair use of these marks in
referring to our products and services as long as you provide standard
attribution. You also have permission to
use these marks as described below in "Linking to ECS". Any other use
is strictly prohibited.
Section 3. Linking to ECS
We grant you a non-assignable, non-transferable, and
non-exclusive license to link to any part of
ECS using the Royal name and/or trademarks for the purpose of providing
users with access to ECS. The Royal name
and/or trademarks may not be used for any other purpose, including, but not
limited to, suggesting affiliation, endorsement, or sponsorship by Royal or its
affiliates. We reserve the right to
terminate or alter this license at any time without cause or notice.
Section 4. Control of ECS
Royal reserves the right to change or remove services,
modify or remove content, and correct errors or omissions on any part of ECS
without cause or notice. You agree that
Royal assumes no responsibility for any claims, losses or damages, whether
direct, indirect or consequential, arising from a change or removal of
services, modification or removal of content, or correction of errors or
omissions on any part of ECS.
Section 5.
Access Restrictions
Royal reserves the right to terminate or restrict your
access to ECS at any time without cause or notice.
Section 6.
Use of the Website
You agree not to use ECS in a way that is detrimental to
others or their use of ECS, including, but not limited to:
· Placing
an unreasonable burden on the processing capacity of ECS.

Attempting to gain access to restricted data.
· Using an
account belonging to someone else.
Section 7.
Login and Password
You are responsible for maintaining the secrecy of your
login name and password. You agree not
to give your login name and password to anyone else. Any transactions performed or information
obtained with your login name and password are your responsibility. If you
believe your login name and/or password has been improperly disclosed or
compromised, you shall report it to Royal immediately.
You agree that claims, losses, and direct or consequential
damages resulting from your carelessness or negligence with respect to your
login name and/or password shall be your sole responsibility.
Section 8.
Confidentiality
You agree to take all reasonable steps to protect
confidential information concerning Royal's prices or services and to not
disclose such confidential information to unauthorized persons. You also agree and understand that even if
all reasonable steps to secure the confidentiality of ECS information and/or your
information are followed, there is still a risk that information communicated
through ECS could be compromised. You
expressly accept such risks and waive any claim or cause of action for losses
or damages which in any way arise out of the unintentional disclosure of your
confidential information.
Royal recognizes the importance of protecting confidential
information provided by authorized users of ECS. However, Royal may disclose information if it
believes in good faith that it is necessary to satisfy any law or regulation.
Section 9. Links
and Third Parties
ECS may provide links to third party websites. You understand that because Royal does not
control or operate the products or services provided by these third parties,
you agree to hold Royal harmless from and waive any claim or cause of action
for losses or damages arising out of any transaction you conduct with such
third parties.
Section 10.
Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" BASIS,
WITH NO WARRANTIES WHATSOEVER. TO THE FULLEST EXTENT PERMITTED BY LAW, ROYAL
EXPRESSLY DISCLAIMS ALL EXPRESS, IMPLIED AND STATUTORY WARRANTIES, INCLUDING,
WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR
PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS. IF YOU ARE DISSATISFIED
WITH ECS OR ANY OF THE PROVISIONS IN THESE TERMS OF USE, YOUR SOLE AND
EXCLUSIVE REMEDY IS TO DISCONTINUE USING ECS.
Section 11.
Limitation of Liability
UNDER NO CIRCUMSTANCES SHALL ROYAL OR ANY OF ITS AFFILIATES
BE HELD LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM USE, INABILITY TO USE,
OR UNAUTHORIZED USE OF ECS. THIS LIMITATION OF LIABILITY SHALL APPLY TO PREVENT
RECOVERY OF DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL AND EXEMPLARY
DAMAGES (EVEN IF ROYAL HAS BEEN PREVIOUSLY ALERTED TO THE POSSIBILITY OF SUCH
DAMAGES) ARISING FROM USE OF OR TRANSACTIONS THROUGH ECS, USE OF ANY THIRD
PARTY SERVICES OFFERED THROUGH ECS, OR UNAUTHORIZED ACCESS TO YOUR INFORMATION
TRANSMISSIONS. These limitations shall apply notwithstanding any failure of
essential purpose of any limited remedy. Because some jurisdictions do not
allow certain limitations on implied warranties, some of the above limitations
may not apply to you.
Section 12.
Indemnification
You agree to indemnify and hold Royal, its affiliates, its
officers, and its employees harmless from any claim, including attorneys' fees,
made by any third party arising from your use of ECS, your violation of the
Terms of Use, or your violation of any rights of another. You agree to
cooperate fully in the defense of any claim. Royal reserves the right to assume
the exclusive defense and control of any matter otherwise subject to
indemnification by you and you shall not in any event settle any matter without
the written consent of Royal.

Applicable Law
You agree that all legal issues related to your use of ECS
will be governed by the laws of the

Violations of Terms of Use
If you violate these Terms of Use or any other rights of
Royal, we reserve the right to purse any and all legal remedy against you,
including, but not limited to, terminating your access to ECS. The failure of
Royal to exercise or enforce any right or provision of these Terms of Use shall
not constitute a waiver of that right or provision.
Section 15.
Miscellaneous
These Terms of Use constitute the entire agreement of the
parties and supersede any prior agreements on this matter. You cannot assign
this agreement. Any cause of action you may have with respect to the use of ECS
must be commenced within one (1) year after the claim or cause of action arises.
